PLEASE READ THESE TERMS & CONDITIONS CAREFULLY BEFORE USING THIS SITE OR ENTERING ANY COMPETITION SPONSORED BY THIS SITE.

As used herein, “Passion Passport” refers to Passion Passport LLC, its website located at www.passionpassport.com (the “Site”), and other sites on the world wide web (including sites designed to be accessed by browsers using Wireless Application Protocol) originating in the United States which are owned and/or operated by Passion Passport or its subsidiaries or affiliates.  “Social Media” shall refer to Passion Passport’s page or presence on social media platforms, including, but not limited to, Facebook Twitter and Instagram.

These Terms & Conditions, together with any other terms, conditions or policies set forth elsewhere in the Site, constitute the entire agreement between you and Passion Passport in connection with your access and use of the Site.

By using the Site, you indicate your acceptance of these Terms & Conditions. If you do not agree to these Terms & Conditions, you have no license to access the Site and should leave immediately, and you should not participate in any contest, sweepstakes or other competition sponsored by Passion Passport.

Passion Passport reserves the right, in its sole discretion at any time, to change these Terms & Conditions or impose new conditions, including, but not limited to, adding fees and charges for use. Such changes, updates or additions shall take effect immediately upon Passion Passport posting the most current version of the Terms & Conditions on the Site. The date on which these Terms & Conditions were last updated is posted above. Your continued use of the Site after Passion Passport posts any such changes to the Terms & Conditions shall be deemed to constitute your acceptance of the modified Terms & Conditions.

Passion Passport may change, suspend or discontinue any aspect of the Site at any time, including the availability of any feature or content.  Passion Passport may also impose limits on certain features and services or restrict your access to parts or the entire Site without notice or liability.

Users of the Site agree to indemnify and hold harmless Passion Passport, its sponsors, and its and their respective affiliates, shareholders, officers, directors, members, employees, and agents from and against all liability, damages, loss, cost, or expense (including without limitation reasonable attorneys’ fees and expenses) arising out of or in connection with any claim, suit, action, or proceeding against Passion Passport by a third party which arises out of the use by the user (or the use by any person authorized by the user) of the Site.

PASSION PASSPORT SHALL NOT BE LIABLE TO USERS OF THIS SITE OR ANY OTHER PERSON OR ENTITY FOR ANY PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR OTHER SIMILAR DAMAGES, COSTS OR LOSSES ARISING OUT OF USE OF THIS SITE AND/OR THESE TERMS & CONDITIONS, EVEN IF PASSION PASSPORT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES.

A. Terms Relating to Participation in The Bucket List Initiative

No purchase required.

Eligibility

The Bucket List Initiative is open to applicants who have reached the age of eighteen (18) years by 11:59 PM on the final date on which applications are accepted.

Employees of Passion Passport or any of its affiliates, officers, directors, and promotion and advertising companies, and their immediate families (parents, children, siblings and spouses), are not eligible to participate. All federal, state and local laws and regulations of the United States apply. Void where prohibited or restricted by law. In the event that the competition is challenged by any legal or regulatory authority, Passion Passport reserves the right to discontinue or modify the competition, or to disqualify participants residing in the affected geographic areas. In such event, Passion Passport shall have no liability to any entrants who are disqualified due to such an action. By entering this competition, entrants accept and agree to be bound by these Terms & Conditions and the decisions of Passion Passport, which shall be final, binding and conclusive on all matters.

The entrant must be available to travel within the travel dates published for The Bucket List Initiative on the Site and be in possession of a valid passport.

Entrants who have been convicted of any crime other than a summary offense or traffic offense are not eligible to participate in The Bucket List Initiative.

Application

Entrant must answer a series of questions posed by Passion Passport, as set forth in the entry form, relating to entrant’s wildest travel dream.

The entrant certifies that any content submitted for the application is the entrant’s own original work, and that the material therein does not contain any intellectual property belonging to any third party, including, but not limited to, any material in which any third party holds a copyright.

Passion Passport reserves the right to reject any application that, in its sole discretion, it deems to be profane or offensive, or which encourages any illegal activity.

Answers to the questions in the application, including, but not limited to, answers regarding the entrant’s background and travel inspiration, must be answered truthfully, and the content of the responses must not be fictitious in nature. Incomplete or untruthful information shall render the entry void.

Selection of Winner

One (1) winner will be selected from all eligible entrants, in accordance with these Terms & Conditions.

Four (4) finalists will be selected by a panel of judges, based on criteria set forth in the contest description. Published and announced decisions are final.

The panel of judges will be determined by Passion Passport and judges may be added or removed at Passion Passport’s discretion.

Passion Passport reserves the right to alter the advertised contest timeline at any time for any reason whatsoever.

The winner will be selected from amongst the four finalists by public voting, which will take place online at www.passionpassport.com.  Each registered Passion Passport user account and IP address shall have only one (1) vote.

Passion Passport reserves the right to disqualify any entrant who willingly attempts to skew the voting results by any means that Passion Passport, in its sole discretion, deems unjust, at any time.

Winner will be notified by electronic mail. If Passion Passport is unable to contact the winner to notify the winner that s/he has been selected as the winner, or if any notification is returned as undeliverable, for any reason beyond Passion Passport’s control, the prize will be forfeited and awarded to an alternate. Winner will be required to execute and return an affidavit of eligibility / release of liability and valid publicity release, which shall include an agreement to use the prize in accordance with these Terms & Conditions. Winners must return to Passion Passport a duly signed affidavit of eligibility / release of liability and valid publicity release within fourteen (14) days of issuance of notification. Failure to comply with these requirements will result in the award of the prizes to an alternate. The return of the affidavits/releases of liability within the allotted time shall be solely the responsibility of the winner; Passion Passport is not responsible for delays in delivery. Entry constitutes each winner’s permission to print and/or post the respective winner’s name and entry on the world wide web, and each winner’s consent to use his/her name, photograph, and/or voice recordings and likenesses for advertising or publicity purposes, in all media, without additional compensation or permission, except where prohibited by law.

Prize

The winner will receive 3000 United States Dollars, which must be used towards flights, accommodations, and other travel expenses in connection with the trip described in the winning entry, or such other trip as may be approved by Passion Passport in its sole discretion. Winner may be required to submit all receipts to Passion Passport for its approval, which shall not be unreasonably withheld or denied.

Prize may not be used in connection with anything other than approved travel expenses; misuse will result in forfeiture of prize, and winner shall be required to return all funds received.

Content Creation

The winner agrees to produce content during the trip described in the winning entry (or such other trip as may be approved by Passion Passport) (hereinafter, the “Content”) for use by Passion Passport and its sponsors, as described herein.

The Content will vary based on the entrant’s chosen method of documentation. The Content shall consist, at a minimum, of:

Seventy-five (75) DSLR photos or mobile phone photos with descriptions (50-100 words) AND five blog posts (500 words) OR

Two three minute videos with descriptions (100 words) AND five blog posts (500 words) OR

Eight blog posts of 500 words with accompanying photos (with at least three photos at the winner’s discretion).

All Content must be provided within 10 days of the trip’s completion.

Failure to provide Content shall result in prize forfeiture.

Content Ownership and Distribution

The winner of The Bucket List Initiative retains full rights to his/her Content, except as may otherwise be set forth herein.

Passion Passport and its sponsors shall have a perpetual, royalty free license to use the Content for all purposes, whether commercial or editorial, in any media now known or hereinafter derived.  Such license shall (i) be an exclusive license for 6 months, commencing on the date of creation of the Content and (ii) include, but not be limited to, the right of Passion Passport and its sponsors to display the Content, or any portion or derivative work thereof, on the Site, on the websites of any such sponsor, on materials promoting Passion Passport, its sponsors, or any of its or their products or services, and on Passion Passport Social Media and other social media channels, including, but not limited to, sponsor social media channels.

Passion Passport shall have the right to alter, revise, or create derivative works from the Content, including, but not limited to, editing, changing or reworking any writing by making grammatical, structural, and editing changes (as necessary); editing, changing or reworking any photography by modifying such things as color and size (as necessary); making derivative works of the Content, all without the prior permission of winner.

As of 6 months after the date of creation of the Content, the winner may use the Content (or derivatives of the Content) or allow others to use the Content (or derivatives of the Content) for any purpose; provided, however, (i) prior to such date, winners may not use the Content (or derivatives of the Content) or allow others to use the Content (or derivatives of the Content) for any purpose whatsoever, including, but not limited to, posting Content to any website and/or social media platform and (ii) that such use shall not be critical of or compete with Passion Passport.

The winner represents, warrants and certifies that the Content that is licensed to Passion Passport is his/her own original work, is the sole property of winner and does not infringe the rights of any third party, including, but not limited to, trademark, copyright, patent, trade secret, or other proprietary or personal rights. Winner further represents, warrants and certifies that such Content has not been previously published, and shall not include any material that is profane, offensive, or that advocates or encourages any illegal activity.

Entrant Information

Entrant e-mail addresses may be added to the Passion Passport mailing list and may also be shared with sponsors for the same purpose.

Voter e-mail addresses may be added to the Passion Passport mailing list and may also be shared with trip sponsors for the same purpose.

Behavior/Use of Prize

The winner agrees to behave in a manner that reflects positively on Passion Passport and its sponsors for the entire duration of the trip. This includes, but is not limited to:

Abiding by all laws of the city(ies), region(s), and country(ies) visited;

Refraining from appearing in public intoxicated by alcohol or illicit drugs;

Using the prize money for purchases or services not originally agreed upon with Passion Passport;

Respecting the local culture;

Engaging in activities that put one’s life or the lives of others at unreasonable risk.

In the event that the winner is provided with spending money or a credit card for their trip expenses, Passion Passport reserves the right to request receipts for all expenses incurred.

Passion Passport reserves the right to withdraw support from the winner’s trip (financially and otherwise) and to demand that the prize money be returned in full should the winner fail to comply with the obligations set forth herein.

Liability for events on winning trip

By participating in The Bucket List Initiative, the winner agrees to release, indemnify and hold harmless Passion Passport, its sponsors, and its and their respective affiliates, shareholders, officers, directors, members, employees, and agents from and against all liability, damages, loss, cost, or expense (including without limitation reasonable attorneys’ fees and expenses) arising out of or in connection with (i) the giveaways; (ii) the acceptance, possession, or use of any prize, including, but not limited to, personal injury, death, and property damage, (iii) winner’s use of any Content not in accordance with these Terms & Conditions, (iv) any breach by winner of his/her obligations, representations or warranties hereunder, (v) any claim, suit, action, or proceeding based on publicity rights, defamation, or invasion of privacy, and/or (vi) any claim, suit, action, or proceeding relating to the ownership, use or exploitation of Content by Passion Passport and/or its sponsors, including, but not limited to, any claim relating to the violation of any third party’s trademark, copyright, patent, trade secret, or other proprietary or personal rights in connection with Content.

Winner shall execute an affidavit of eligibility and release, in accordance with the terms of these Terms & Conditions, prior to award or prize.

Miscellaneous

Passion Passport is not responsible for any incorrect or inaccurate entry information, human error, technical malfunction, failures, omission, interruption, deletion, or defect of any telephone network, computer on-line systems, computer equipment, servers, access providers, or software, including any injury or damage to participants’ or any other persons’ computers relating to or resulting from participation in this competition; inability to access the entry website or any pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of entries; entry submissions that are processed late or incorrectly or are incomplete, garbled, or lost due to computer or electronic malfunction or traffic congestion on the Internet or any website; lost, misdirected or late entries, failure to deliver or delays in delivery. Proof of entering information at website is not considered proof of delivery or receipt. The submission of entries online within the allotted time shall be the sole responsibility of the entrant. All entries become the sole property of Passion Passport and will not be returned or acknowledged. False and / or deceptive entries or accounts shall render entry ineligible. In the event of a dispute as to the identity of the winner, prize will be awarded to the registered owner of the email account.

C. Terms Relating to Submission of Photographs to Passion Passport

By using this Site and in consideration of Passion Passport evaluating your photography for its possible use on the Site, Social Media and/or in a Passion Passport newsletter, the contributor (the “Photographer”) agrees to the terms and conditions set forth in these Terms & Conditions.

Photographers who submit a photo or photosets (a “Photo”) to Passion Passport retain full rights to their Photo, except as otherwise set forth herein.

Passion Passport shall have the right to accept any Photo, display it on the Site, promote it on Passion Passport’s Social Media and use it in a Passion Passport newsletter.  Selection of Photos to be used or featured shall be in Passion Passport’s sole and absolute discretion, and Passion Passport shall have no obligation to use or display any Photo.

Passion Passport shall have the option to create an article, including, but not limited to, a feature article, on the Photographer, including his/her Photo, providing exposure to the Photographer’s personal web site and his/her work, without any additional compensation to Photographer.

Passion Passport shall have a perpetual, royalty free license to use any Photo, and to alter, change, rework or create derivative works of the Photo, as follows: (a) on or in connection with the Site, or any other electronic or other platform now know or hereinafter derived that is owned or operated by Passion Passport; (b) on or in connection with materials promoting Passion Passport and/or the Site; (c) in books, magazines, Social Media, newsletters, and all other media now known or hereinafter derived.

If a Photo is selected, the Photographer may use the Photo (or derivatives of the Photo) or allow others to use the Photo (or derivatives of the Photo) for any purpose, except in a manner that is derogatory or otherwise critical of Passion Passport. The Photographer represents, warrants and certifies that the Photo that is licensed to Passion Passport is his/her own original work, is the sole property of Photographer and does not infringe the rights of any third party, including, but not limited to, trademark, copyright, patent, trade secret, or other proprietary or personal rights. Photographer further represents, warrants and certifies that such Photo has not been previously published, and shall not include any material that is profane, offensive, or that advocates or encourages any illegal activity.

Photographer agrees to release, indemnify and hold harmless Passion Passport, its sponsors, and its and their respective affiliates, shareholders, officers, directors, members, employees, and agents from and against all liability, damages, loss, cost, or expense (including without limitation reasonable attorneys’ fees and expenses) arising out of or in connection with (i) any claim, suit, action, or proceeding based on publicity rights, defamation, or invasion of privacy, (ii) Photographer’s use of a Photo not in accordance with these Terms & Conditions, (iii) any breach by Photographer of his/her obligations, representations or warranties hereunder, and/or (iv) any claim, suit, action, or proceeding relating to the ownership, use or exploitation of a Photo by Passion Passport and/or its sponsors, including, but not limited to, any claim relating to the violation of any third party’s trademark, copyright, patent, trade secret, or other proprietary or personal rights in connection with a Photo.

Participants, who in the opinion of Passion Passport, do not comply with these Terms & Conditions, or for any other reason in Passion Passport’s sole discretion, can at any time be excluded from consideration without notice. The decisions of Passion Passport are final and binding.

D. Terms Relating to Submission of Written Content to Passion Passport

By using this Site and in consideration of Passion Passport evaluating your submission (the “Writing”) for its possible use on the Site, Social Media and/or in a Passion Passport newsletter, the contributor (the “Writer”) agrees to the terms and conditions set forth in these Terms & Conditions.

Writers who submit their Writing to Passion Passport retain full rights to their Writing, except as otherwise set forth herein.

Passion Passport shall have a perpetual, royalty free license to use any Writing, and to alter, change, rework or create derivative works of the Writing, as follows: (a) on or in connection with the Site, or any other electronic or other platform now know or hereinafter derived that is owned or operated by Passion Passport; (b) on or in connection with materials promoting Passion Passport and/or the Site; (c) in books, magazines, Social Media, newsletters, and all other media now known or hereinafter derived.

Passion Passport agrees to post a short bio of the Writer at the bottom of an article, providing exposure to the Writer’s personal website and relevant social media buttons if requested.

Passion Passport may use the selected Writing in any matter on or in connection with the Site, including, but not limited to: changing or reworking the Writing by making grammatical, structural, and other general editing changes (as necessary), making derivative works of the Writing, using the Writing on the Site, Social Media and/or on promotional material.

If a Writing is selected, the Writer may use the Writing (or derivatives of the Writing) or allow others to use the Writing (or derivatives of the Writing) for any purpose, except in a manner that is derogatory or otherwise critical of Passion Passport. The Writer represents, warrants and certifies that the Writing that is licensed to Passion Passport is his/her own original work, is the sole property of Writer and does not infringe the rights of any third party, including, but not limited to, trademark, copyright, patent, trade secret, or other proprietary or personal rights.

Writer further represents, warrants and certifies that such Writing has not been previously published, and shall not include any material that is profane, offensive, or that advocates or encourages any illegal activity.

Writer agrees to release, indemnify and hold harmless Passion Passport, its sponsors, and its and their respective affiliates, shareholders, officers, directors, members, employees, and agents from and against all liability, damages, loss, cost, or expense (including without limitation reasonable attorneys’ fees and expenses) arising out of or in connection with (i) any claim, suit, action, or proceeding based on publicity rights, defamation, or invasion of privacy, (ii) Writer’s use of a Writing not in accordance with these Terms & Conditions, (iii) any breach by Writer of his/her obligations, representations or warranties hereunder, and/or (iv) any claim, suit, action, or proceeding relating to the ownership, use or exploitation of a Writing by Passion Passport and/or its sponsors, including, but not limited to, any claim relating to the violation of any third party’s trademark, copyright, patent, trade secret, or other proprietary or personal rights in connection with a Writing.

If the Writing is not deemed suitable for publishing as determined by Passion Passport, Passion Passport will notify the Writer of the reason(s) for its determination by e-mail within thirty days.

Participants, who in the opinion of Passion Passport, do not comply with these Terms & Conditions, or for any other reason in Passion Passport’s sole discretion, can at any time be excluded from consideration without notice. The decisions of Passion Passport are final and binding.

D. Terms and Conditions for Social Media, Twitter Chats and Instagram Challenges

If you respond to questions or posts by Passion Passport or post content on or via our official brand presence on Social Media, we may use or republish your posted content, including, but not limited to, texts, photographs, videos, and/or other materials, as set forth herein. Our Social Media platforms include Passion Passport Facebook Page, Passion Passport Instagram Account, Passion Passport Twitter Account, Passion Passport Google+ Page, Passion Passport Pinterest Page, Passion Passport VSCO Grid, and all other social media or networking sites owned or associated with Passion Passport.

By participating in our Twitter Chat, you agree to the following terms and conditions:

You have the right to submit the tweet and all content submitted therewith (the “Tweet”).

You represent and warrant that the Tweet does not (i) violate or infringe any rights of any third party, including copyright, trademark, rights of publicity and privacy and (ii) include any material that is profane, offensive, or that advocates or encourages any illegal activity (Note: If any third-party content is included in your posted Tweet you must obtain permission from the content owner and attribute this Tweet to the owner).

Your Tweet (including text, photograph, and video) can be used on the Passion Passport Site and Social Media.

Your Tweet can be copied, adapted, reproduced, published, posted, distributed and translated by Passion Passport for advertising and commercial purposes.

You agree to release, indemnify and hold harmless Passion Passport, its sponsors, and its and their respective affiliates, shareholders, officers, directors, members, employees, and agents from and against all liability, damages, loss, cost, or expense (including without limitation reasonable attorneys’ fees and expenses) arising out of or in connection with (i) any claim, suit, action, or proceeding based on publicity rights, defamation, or invasion of privacy, (ii) any breach by you of your obligations, representations or warranties hereunder, and/or (iii) any claim, suit, action, or proceeding relating to the ownership, use or exploitation of a Tweet by Passion Passport and/or its sponsors, including, but not limited to, any claim relating to the violation of any third party’s trademark, copyright, patent, trade secret, or other proprietary or personal rights in connection with a Tweet.

If you are the winner of a prize, prizes or prize package from the Twitter Chat, you have 72 hours from the announcement to claim your prize.

Winner will be notified by e-mail. After 72 hours, the prize will be assigned to the next deserving participant from the Twitter Chat as determined by Passion Passport.

All decisions regarding the assigned prizes are made by the Passion Passport and are final.

You retain full rights to your photography, except as otherwise set forth herein.

Your writeup (or parts of your writeup) can be edited or reorganized by a member of our staff.

Your photo/video and writeup (or parts of your writeup) may be featured on the Site, Social Media and/or in a Passion Passport newsletter as well as our sponsors’ websites and/or social media channels (if applicable).

You agree to release, indemnify and hold harmless Passion Passport, its sponsors, and its and their respective affiliates, shareholders, officers, directors, members, employees, and agents from and against all liability, damages, loss, cost, or expense (including without limitation reasonable attorneys’ fees and expenses) arising out of or in connection with (i) any claim, suit, action, or proceeding based on publicity rights, defamation, or invasion of privacy, (ii) any breach by you of your obligations, representations or warranties hereunder, and/or (iii) any claim, suit, action, or proceeding relating to the ownership, use or exploitation of content you submit by Passion Passport and/or its sponsors, including, but not limited to, any claim relating to the violation of any third party’s trademark, copyright, patent, trade secret, or other proprietary or personal rights in connection with content you submit.

Passion Passport may, at any time, alter the timeline of the photo contest through an announcement on social media and on the Passion Passport website.

Passion Passport may, at any time, remove the photo/video from the Site or Social Media for any reason, including, but not limited to, objectionable images, poor photo quality, or copyright infringement.

Passion Passport may ask you to provide your email or relevant information if selected as a winner. Passion Passport may share this information with contest sponsors in order to facilitate delivery of prize(s).

Passion Passport reserves the right to demand that the prize(s) be returned in full should the winner or honorable mentions fail to comply with their obligations hereunder.

Your photo/video and writeup may be used in a book featuring photos and stories from around the world.

If you are the potential winner of a prize, prizes or prize package from the Instagram Challenge, you have ten (10) days from the announcement to claim your prize.

F. Terms Between Participants in The Wanderlust Story Contest and Passion Passport

Eligibility

The Wanderlust Story Contest is open to any legal resident of the United States who has reached the age of eighteen (18) years by 11:59 PM on the final date on which applications are accepted.

Employees of Passion Passport or any of its affiliates, officers, directors, and promotion and advertising companies, and their immediate families (parents, children, siblings and spouses), are not eligible to participate. All federal, state and local laws and regulations of the United States apply. Void where prohibited or restricted by law. In the event that the competition is challenged by any legal or regulatory authority, Passion Passport reserves the right to discontinue or modify the competition, or to disqualify participants residing in the affected geographic areas. In such event, Passion Passport shall have no liability to any entrants who are disqualified due to such an action. By entering this competition, entrants accept and agree to be bound by these Terms & Conditions and the decisions of Passion Passport, which shall be final, binding and conclusive on all matters.

Entrants who have been convicted of any crime other than a summary offense or traffic offense are not eligible to participate in The Wanderlust Story Contest.

Contest Submission

The entrant certifies that any content submitted for the application (the “Material”) is the entrant’s own original work, and that the Material does not contain any intellectual property belonging to any third party, including, but not limited to, any material in which any third party holds a copyright.

Selection

Selection of the winner and runner ups is decided upon by Passion Passport’s editorial team. Decisions published and announced are final.

Passion Passport reserves the right to alter the advertised contest timeline at any time for whatever reason.

Winner will be notified by electronic mail. If Passion Passport is unable to contact the winner to notify the winner that s/he has been selected as the winner, or if any notification is returned as undeliverable, for any reason beyond Passion Passport’s control, the prize will be forfeited and awarded to an alternate. Winner will be required to execute and return an affidavit of eligibility / release of liability and valid publicity release, which shall include an agreement to use the prize in accordance with these Terms & Conditions. Winners must return to Passion Passport a duly signed affidavit of eligibility / release of liability and valid publicity release within fourteen (14) days of issuance of notification. Failure to comply with these requirements will result in the award of the prizes to an alternate. The return of the affidavits/releases of liability within the allotted time shall be solely the responsibility of the winner; Passion Passport is not responsible for delays in delivery. Entry constitutes each winner’s permission to print and/or post the respective winner’s name and entry on the world wide web, and each winner’s consent to use his/her name, photograph, and/or voice recordings and likenesses for advertising or publicity purposes, in all media, without additional compensation or permission, except where prohibited by law.

Prize

The winner will receive 1,000 United States Dollars to use at the winner’s discretion

Content Ownership/Distribution

The winner of The Wanderlust Story Contest retains full rights to his/her Material, except as otherwise set forth herein. Passion Passport and its sponsors shall have a perpetual, royalty free license to use the Material for all purposes, whether commercial or editorial, in any media now known or hereinafter derived.  Such license shall (i) be an exclusive license for 6 months, commencing on the date of submission of the Material and (ii) include, but not be limited to, the right of Passion Passport and its sponsors to display the Material, or any portion or derivative work thereof, on the Site, on the websites of any such sponsor, on materials promoting Passion Passport, its sponsors, or any of its or their products or services, and on Passion Passport Social Media and other social media channels, including, but not limited to, sponsor social media channels.

Passion Passport shall have the right to alter, revise, or create derivative works from the Material, including, but not limited to, editing, changing or reworking any writing by making grammatical, structural, and editing changes (as necessary); editing, changing or reworking any photography by modifying such things as color and size (as necessary); making derivative works of the Material, all without the prior permission of winner.

As of 6 months following the submission of the Material, the winner may use the Material (or derivatives of the Material) or allow others to use the Material (or derivatives of the Material) for any purpose; provided, however, (i) prior to such date, winners may not use the Material (or derivatives of the Material) or allow others to use the Material (or derivatives of the Material) for any purpose whatsoever, including, but not limited to, posting Material to any website and/or social media platform and (ii) that such use shall not be critical of or compete with Passion Passport.

The winner represents, warrants and certifies that the Material that is licensed to Passion Passport is his/her own original work, is the sole property of winner and does not infringe the rights of any third party, including, but not limited to, trademark, copyright, patent, trade secret, or other proprietary or personal rights. Winner further represents, warrants and certifies that such Material has not been previously published, and shall not include any material that is profane, offensive, or that advocates or encourages any illegal activity.

By participating in The Wanderlust Story Contest, the winner agrees to release, indemnify and hold harmless Passion Passport, its sponsors, and its and their respective affiliates, shareholders, officers, directors, members, employees, and agents from and against all liability, damages, loss, cost, or expense (including without limitation reasonable attorneys’ fees and expenses) arising out of or in connection with (i) the giveaways; (ii) the acceptance, possession, or use of any prize, including, but not limited to, personal injury, death, and property damage, (iii) winner’s use of any Material not in accordance with these Terms & Conditions, (iv) any breach by winner of his/her obligations, representations or warranties hereunder, (v) any claim, suit, action, or proceeding based on publicity rights, defamation, or invasion of privacy, and/or (v) any claim, suit, action, or proceeding relating to the ownership, use or exploitation of Material by Passion Passport and/or its sponsors, including, but not limited to, any claim relating to the violation of any third party’s trademark, copyright, patent, trade secret, or other proprietary or personal rights in connection with Material.

Miscellaneous

Passion Passport is not responsible for any incorrect or inaccurate entry information, human error, technical malfunction, failures, omission, interruption, deletion, or defect of any telephone network, computer on-line systems, computer equipment, servers, access providers, or software, including any injury or damage to participants’ or any other persons’ computers relating to or resulting from participation in this competition; inability to access the entry website or any pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of entries; entry submissions that are processed late or incorrectly or are incomplete, garbled, or lost due to computer or electronic malfunction or traffic congestion on the Internet or any website; lost, misdirected or late entries, failure to deliver or delays in delivery. Proof of entering information at website is not considered proof of delivery or receipt. The submission of entries online within the allotted time shall be the sole responsibility of the entrant.
